MATERIAL LICENSE AND RELEASE

Upon checkbox agreement and submitting a video and/or other materials (“Materials”) for consideration for the Math Documentary currently being produced by Three Frame Media, Inc. (“Producer”), I acknowledge and agree to the following:

1. I represent that all information provided by me in my application and video submission is true and accurate to the best of my knowledge. I understand that providing false, misleading, or materially inaccurate information may result in my removal from the application process and/or from participation in the Math Documentary.

2. I hereby grant to Producer, its successors, assigns, licensees, distributors, and authorized representatives a non-exclusive, irrevocable, worldwide, royalty-free, fully paid-up license, in perpetuity, to use, reproduce, edit, adapt, modify, display, perform, distribute, publish, exhibit, transmit, advertise, promote, and otherwise exploit my Materials, in whole or in part, in any manner and in all media now known or hereafter devised. This license includes, without limitation, the right to use my submitted video, voice, image, likeness, appearance, actions, performance, biographical information, statements, photographs, recordings, and other materials submitted by me in connection with the Math Documentary and its production, distribution, publicity, promotion, marketing, educational and impact activities, and related exploitation. Producer may use the Materials in theatrical, television, streaming, digital, online, social media, educational, promotional, advertising, home video, mobile, and other media and platforms throughout the world, in perpetuity.

3. I understand and agree that Producer may, in its sole discretion, edit, cut, crop, rearrange, combine, modify, adapt, dub, subtitle, excerpt, or otherwise alter the Materials, and may combine them with other materials, music, graphics, footage, interviews, or other content. I waive, to the extent permitted by law, any moral rights or similar rights I may have in the Materials and agree that Producer's use of the Materials as authorized herein shall not require my further approval. Producer is under no obligation to use any Materials I submit, and submission does not guarantee that I will be selected to participate in or appear in the Math Documentary.

4. I represent and warrant that:

  1. I am the creator and/or lawful owner or authorized user of the Materials I submit and have the full right and authority to grant the rights provided in this agreement;

  2. My submission does not knowingly infringe or violate the copyright, trademark, privacy, publicity, contractual, or other rights of any third party;

  3. To the extent any third-party materials, individuals, locations, music, artwork, recordings, or other protected content are included in my submission, I have obtained all permissions and releases necessary for Producer to use the Materials as contemplated herein; and

  4. No additional permission, release, payment, royalty, or other compensation to me or any third party is required for Producer's authorized use of the Materials.

I agree to notify Producer if I become aware of any material issue affecting the rights granted under this agreement.

5. To the extent permitted by law, I release and agree not to bring any claim against Producer, its successors, assigns, licensees, distributors, or authorized representatives arising from Producer's authorized use of the Materials, including claims based on the use of my image, likeness, voice, statements, or biographical information. I understand that I will not have the right to seek an injunction or other equitable relief that would prevent, restrict, or interfere with the production, distribution, exhibition, advertising, promotion, or other exploitation of the Math Documentary or Materials. My remedies, if any, shall be limited to monetary damages to the extent permitted by applicable law.

6. I agree to indemnify and hold harmless Producer, its successors, assigns, licensees, distributors, and authorized representatives from and against claims, damages, liabilities, costs, and reasonable attorneys' fees arising out of my material breach of the representations and warranties contained in this agreement.

7. Unless separately agreed to in writing, I understand that I will not receive compensation, royalties, residuals, or other payment for Producer's use of the Materials as authorized herein.

8. Submission of Materials does not guarantee selection, casting, participation, employment, payment, or appearance in the Math Documentary. Producer may accept or reject any submission in its sole discretion.

9. The rights granted herein are worldwide and shall continue in perpetuity, for the duration of all applicable copyrights and other rights in the Materials, including any renewals, extensions, or successor rights, without any additional payment or approval from me.

10. This agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law provisions.

11. I understand that by checking the acceptance box and submitting my Materials through the website, I am electronically agreeing to this Video Submission Material License and Release. My electronic acceptance shall have the same force and effect as a handwritten signature.
